1. Acceptance of Terms
By accessing or using Clozer CRM ("Service"), operated by Clozer CRM (Pty) Ltd ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Clozer CRM is an AI-powered customer relationship management platform designed for South African real estate agents. Our Service includes:
- AI-powered chatbot for lead qualification
- Live inbox for managing conversations
- WhatsApp and email integration capabilities
- SMS notifications for qualified leads
- Lead scoring and tracking
- Property listing management
- Customizable AI training and preferences
3. Account Registration
To use certain features of the Service, you must register for an account. When you register, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 18 years old and a resident of South Africa to use this Service. By using the Service, you represent and warrant that you meet these requirements.
4. Payments, Refunds and Service Delivery
4.1 Currency and Pricing: All subscription fees are quoted and charged in South African Rand (ZAR). Current pricing for each plan is shown on our pricing page at app.clozercrm.com/pricing.
4.2 Payment Methods: Subscriptions are paid by electronic funds transfer (EFT) to our business bank account. Banking details and a reference are provided on your invoice. We do not store any card details.
4.3 Billing Cycle: Subscriptions are billed in advance. Individual plans (Pro, Elite, Apex) are billed monthly with no minimum term. Agency plans (Agency Pro, Agency Elite) carry a six (6) month minimum commitment billed monthly, after which they continue month-to-month.
4.4 Service Activation: Clozer CRM is a digital software service (Software-as-a-Service). There is no physical product to ship. Account access is activated within one (1) business day of our confirming receipt of payment, and in most cases is immediate. Where offered, new customers may start a free trial to evaluate the service before paying.
4.5 Refund Policy: Because Clozer CRM is a digital service that is activated promptly after payment, subscription fees are non-refundable once a billing cycle has commenced and access has been provided. We do not provide pro-rata refunds for unused time, partial months, or mid-cycle cancellation, and once-off onboarding fees are non-refundable. If you believe you have been charged in error (for example a duplicate payment or an incorrect amount), email us at clozercrm@gmail.com within thirty (30) days and we will investigate and refund any verified incorrect charge.
4.6 Cancellation: You may cancel at any time, effective from the end of your current billing cycle, by emailing clozercrm@gmail.com. Cancellation stops future billing but does not refund the current cycle. Agency plan cancellations within the six-month minimum are subject to the commitment terms in these Terms of Service.
4.7 Failed or Late Payments: If a subscription payment is not received by its due date, we may suspend or restrict access to the platform until the account is brought up to date.
4.8 Your Statutory Rights: Nothing in this policy limits any rights you may have that cannot be excluded under the Consumer Protection Act, 68 of 2008, or the Electronic Communications and Transactions Act, 25 of 2002.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations, including POPIA (Protection of Personal Information Act)
- Send spam, unsolicited messages, or engage in any form of harassment
- Impersonate any person or entity
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to any part of the Service
- Use the Service for any illegal or unauthorized purpose
- Collect or store personal data about other users without their consent
- Use automated systems or software to extract data from the Service
6. AI and Automated Services
6.1 AI Chatbot: Our AI chatbot is designed to assist with lead qualification. While we strive for accuracy, the AI may occasionally provide incorrect or incomplete responses. You are responsible for reviewing and verifying all AI-generated communications before relying on them.
6.2 SMS and WhatsApp Notifications: By using our SMS and WhatsApp notification features, you confirm that you have obtained appropriate consent from leads to contact them via these channels, in compliance with POPIA and other applicable regulations.
6.3 Training Your AI: You may customize your AI assistant's behavior and questions. You are responsible for ensuring your AI settings comply with all applicable laws and ethical standards.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Clozer CRM (Pty) Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of any data you upload to the Service, including property listings and lead information. By uploading content, you grant us a license to use, store, and process that content solely to provide the Service to you. You may request deletion of your account and data at any time by contacting us at clozercrm@gmail.com.
8. Data Protection and POPIA Compliance
We are committed to protecting your personal information in accordance with the Protection of Personal Information Act (POPIA). Our collection, use, and disclosure of personal information is governed by our Privacy Policy.
As a user of our Service, you are considered a "responsible party" under POPIA for the personal information of your leads. You are responsible for ensuring that you have lawful grounds to collect and process lead data and that you comply with all POPIA requirements.
9. Limitation of Liability
To the maximum extent permitted by law, Clozer CRM (Pty) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use or inability to use the Service
- Any unauthorized access to or use of our servers and/or personal information stored therein
- Any interruption or cessation of transmission to or from the Service
- Any bugs, viruses, or similar issues transmitted through the Service
- Any errors or omissions in any content or AI responses
10. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, secure, or error-free.
11. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of South Africa.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
